Terms of Sale

1. Purpose

These Terms of Sale (the “Terms”) govern the contractual relationship between any user (the “Customer”) and the company PILBEE GmbH, operator of the platform AGENTOVA.AI, available at https://www.agentova.ai.

Any use of the platform implies full and unreserved acceptance of these Terms.

3. Description of the service

AGENTOVA.AI is a SaaS platform that allows its users to automate certain professional tasks using specialized intelligent conversational agents (including customer service, sales prospecting, SEO, content creation, marketing and internal organization).

Access to the platform’s features is provided through a paid subscription, taken out on a monthly, quarterly or annual basis.

4. Access to the service

Access to the services is conditional on:

• creating a user account;
• accepting these Terms of Sale and the Terms of Use;
• taking out a paid subscription at the end of the trial period.

The Customer benefits from a 7-day free trial, counted on a calendar basis from the day of registration.
At the end of this period, the selected subscription is automatically activated and billed, unless the Customer has cancelled beforehand from their personal account.

By way of derogation from the terms described in this article, subscriptions taken out through an Agentova sales representative may provide for a commitment period, a payment schedule and/or trial conditions that differ from those set out above. These specific conditions are then presented to the Customer before subscription, and validating their order constitutes express acceptance of the special conditions applicable to their offer.

5. Prices

Prices are expressed in euros or Swiss francs (depending on the geographic area and billing currency), and are clearly displayed at the time of subscription.

Subscriptions may be:

• monthly;
• quarterly;
• annual.

PILBEE GmbH reserves the right to change its prices at any time.
Any price change will apply only from the next billing period, after prior notice to the Customer.

6. Payment

Payment is made by bank card through a secure payment provider.

The subscription is charged automatically at each due date, according to the chosen billing frequency.

The Customer agrees to provide accurate, valid and up-to-date payment information throughout the duration of their subscription.

7. No refunds

At the end of the free trial period, any validated payment is firm and final.
No refund will be granted, including in the event of partial use or non-use of the service.

The Customer is solely responsible for managing and cancelling their subscription from their personal account, under “Manage billing”.

Any cancellation must be made before the renewal date, failing which the automatic charge will be made.

As an exception, a refund may be considered only:

• in the event of a manifest error attributable to AGENTOVA.AI;
• or in the event of a proven technical malfunction preventing cancellation from the interface, as established by technical support.

8. Cancellation

The Customer may cancel their subscription at any time from their personal account.

Cancellation can only be made by the Customer personally.
AGENTOVA.AI has no access to payment methods or to the billing settings needed to do so on the Customer’s behalf.

If the subscription is not cancelled before the renewal date, it is automatically renewed for the following period.

Cancellation takes effect at the end of the current subscription period.
No refund, including pro rata temporis, will be made for a period already started.

9. Suspension or restriction of access

AGENTOVA.AI reserves the right to suspend or restrict access to the service, temporarily or permanently, in particular in the event of:

• manifest abuse of the service (unintended excessive use, abusive multiplication of workspaces);
• fraudulent use (account sharing, malicious or unlawful automations);
• breach of these Terms of Sale or the Terms of Use.

A regularization or a change of plan may be offered to the Customer if the situation allows.

10. Liability

AGENTOVA.AI provides an assistance and automation platform.
The agents offered do not constitute legal advice, financial advice or personalized professional advice.

PILBEE GmbH cannot be held liable for decisions, actions or consequences resulting from the use of the agents or from responses generated by the platform.

The Customer remains solely responsible for:

• the configuration of the agents;
• the data submitted;
• the use they make of the results produced.

11. Intellectual property

The agents Arthur, Elisa, Margot, Charlotte, Ethan, Benoît, Samy and Amandine, as well as all of their logic, prompts, architectures and features, are the exclusive property of PILBEE GmbH.

The Customer retains ownership of the data they submit to the platform and may request its export, within the technical limits provided.

The agents, how they work and their components are neither exportable nor transferable.

12. Governing law and jurisdiction

These Terms of Sale are governed by Swiss law.

In the event of a dispute, the parties will endeavor to find an amicable solution.
Failing agreement, the dispute will be subject to the exclusive jurisdiction of the courts of the canton of Zug (Switzerland).

13. Changes to the Terms

PILBEE GmbH reserves the right to modify these Terms at any time.

Any update will be brought to the Customer’s attention by email or through a notification on their account.
The applicable Terms are those in force on the date the service is used.
